OpenBrain – General Terms of Use
Oct 26, 2026
1. Introduction
1.1. These General Terms of Use (the "Terms") govern the use of the OpenBrain platform for AI voice bots and chatbots (the "Platform"), provided by IReason LLC ("OpenBrain", "we", "us").
1.2. The Platform is for business use only. These Terms apply to the legal entity or sole trader using it (the "Customer", "you"). You accept them by accepting them at registration or by using the Platform.
1.3. The commercial and legal details of each engagement, including scope, implementation, deliverables, timeline, fees and payment, service levels and support, liability limits, term and renewal, and termination, as well as the processing of personal data on the Customer's behalf, are agreed individually between OpenBrain and the Customer (the "parties"). If these Terms differ from what the parties have agreed, the parties' agreement prevails.
2. Accounts and Security
2.1. The Customer is responsible for all activity under its account and API keys, including by its employees and contractors, and must keep credentials confidential.
2.2. The Customer must notify us without delay at contact@ireason.mk of any suspected unauthorised access. We may temporarily block access or rotate keys to protect the account or the Platform.
3. Intellectual Property
3.1. OpenBrain owns the Platform and its general know-how, templates and reusable components. The Customer receives a non-exclusive, non-transferable right to use the Platform for its business for as long as agreed between the parties.
3.2. The Customer keeps all rights to the data and content it provides ("Customer Content") and to the output its bots generate. OpenBrain uses Customer Content only to provide, secure and support the service.
3.3. The Customer must not copy, resell, reverse engineer or build a competing product from the Platform, except where the law expressly allows it.
4. Artificial Intelligence
4.1. Bots use AI models whose output may be inaccurate or incomplete. The Customer is responsible for the information it provides, for approving bot scenarios before go-live, for monitoring its bots, and must not rely on them as the sole basis for medical, legal, financial or other high-risk decisions.
4.2. Bots tell End Users they are talking to an AI. The Customer must keep this disclosure enabled and must not present a bot as a human.
4.3. A cloned or custom voice may only be used with the documented, explicit consent of the person whose voice it is.
4.4. OpenBrain does not use Customer Content or End User conversations to train general AI models without the Customer's prior written consent.
5. Acceptable Use
5.1. The Customer must use the Platform lawfully. In particular, it must not use it for fraud, scams, impersonation, harassment or illegal content; must have the consent or legal basis required to make automated calls, send messages and record calls; and must not process health, biometric, payment card or other sensitive data unless agreed between the parties.
5.2. OpenBrain may suspend a bot or access immediately in case of a serious breach of this section, a security threat or a legal requirement, and will notify the Customer where possible.
6. Data Protection and Confidentiality
6.1. OpenBrain is the controller for the personal data of the Customer's contacts and users, as described in the Privacy Policy published on openbrain.io. For End User data processed by bots, the Customer is the controller and OpenBrain the processor, on the terms agreed between the parties, including retention periods and security measures.
6.2. Each party will keep the other party's non-public information confidential and use it only for their cooperation.
7. Warranties and Liability
7.1. Except as agreed between the parties, the Platform is provided "as is". OpenBrain does not guarantee uninterrupted operation or any specific business result.
7.2. Neither party is liable for indirect or consequential damages, including lost profits. The maximum liability of each party is agreed between the parties. These limits do not apply to intent, gross negligence, or liability that cannot be limited by law.
7.3. The Customer is responsible for claims arising from its Customer Content, its use of the bots, or its breach of section 5 or of data protection law.
8. Termination
8.1. Term, renewal and termination, including the period in which the Customer can export its Customer Content, are agreed between the parties. After that period, OpenBrain deletes Customer Content unless the law requires otherwise.
9. Changes
9.1. We may update these Terms and will notify the Customer by email before material changes take effect, within the notice period agreed between the parties. If the Customer does not agree, it may end the cooperation before they take effect.
10. Governing Law
10.1. These Terms are governed by the laws of the Republic of North Macedonia. Disputes are resolved by the competent court in Skopje, unless the parties have agreed otherwise.
